Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cygenix, a SQL database migration platform operated by Cygenix Ltd ("Cygenix", "we", "us", or "our"). By accessing or using our service, you agree to be bound by these Terms.

Cygenix is currently in beta. Features may change, and service availability is not guaranteed. Please back up your data independently.

1. Agreement to Terms

By creating an account or using the Cygenix platform at cygenix.co.uk, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using Cygenix on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not access or use the service.

2. The Service

Cygenix provides a browser-based SQL database migration platform that allows users to connect to SQL Server databases, map columns using AI-assisted tooling, validate data, generate migration SQL, and execute migration jobs.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice. We will endeavour to provide reasonable notice of significant changes.

During the beta period, access may be by invitation only. We reserve the right to limit or restrict access at our discretion.

You agree to use Cygenix only for lawful purposes and in accordance with these Terms. You must not:

You retain ownership of all data you input into Cygenix, including database schemas, migration jobs, and project settings ("Your Data"). By using the service, you grant us a limited licence to store, process, and transmit Your Data solely to provide the service to you.

We do not sell or share Your Data with third parties except as necessary to provide the service (e.g. cloud infrastructure providers) or as required by law.

You are responsible for ensuring that your use of Cygenix to process any personal data complies with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.

We implement reasonable technical and organisational measures to protect Your Data, but we cannot guarantee absolute security. You should maintain your own backups of critical data.

6. Intellectual Property

The Cygenix platform, including its software, design, branding, and documentation, is owned by Cygenix Ltd and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features.

SQL scripts and migration configurations generated by the platform based on your input remain your property. AI-generated column mappings and suggestions are provided as tools to assist you and should be reviewed before use in production environments.

7. Payment and Billing

During the beta period, Cygenix may be provided free of charge. Paid plans will be introduced at a later date. We will provide reasonable notice before introducing charges and will not charge you without your explicit consent.

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or that AI-generated mappings and SQL will be accurate or suitable for production use. You are solely responsible for reviewing and testing all generated SQL before executing it against production databases.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Cygenix Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or £100 if no payments were made.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

You may close your account at any time by contacting us. We will delete your account data within 30 days of your request, subject to any legal obligations to retain certain records.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Where possible, we will provide notice before termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice on the platform. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
